10. CONFIDENTIALITY The independent contractor shall not disclose confidential information (as defined below) of the procuring entity without the explicit written permission of the procuring entity, such confidential information shall in no case be used directly or indirectly to the detriment of the procuring entity and the independent contractor shall keep such confidential information confidential. Where the independent contractor is invited or obliged (by oral questions, interrogations, requests for information or documents, summonses, requests for civil inquiry or other similar procedures), to disclose or provide confidential information provided in the course of its work with the contracting authority, the independent contractor (i) shall inform the contracting authority without delay and, if possible, make a copy under v and, if not, a description of the confidential information that must be requested or provided in order for the procuring entity to apply for an appropriate protection order or to waive compliance with the provisions of this Section and (ii) to be able to consult the procuring entity on how the procuring entity takes legally available measures to oppose or restrict such a request. For the purposes of this Section, „confidential information“ means all information of the contracting entity (written or oral), including all business or management methods, marketing data, fee schedules or business secrets of the procuring entity, whether such confidential information is disclosed or made available to the independent contractor. confidential information does not include information that can be demonstrated by the independent contractor(i) is or becomes available to the public or the medical community (except as a result of unauthorized disclosure, directly or indirectly, by the independent contractor); (ii) at the disposal or disposal of the independent contractor, on a non-confidential basis, from a source other than the procuring entity or its related enterprises, provided that that source is not bound by a confidentiality agreement with the payer or by any other obligation of confidentiality towards the procuring entity, or (iii) already acquired independently of the independent contractor; or has been or is being developed without a confidentiality agreement with or any other obligation of confidentiality towards the contracting entity. . . .
